Terms of Use & Refund Policy

1. About these terms

These terms are an agreement between you and Hlib Malakhov, a private individual based in Estonia, trading as ML Production, who makes PhraseKit, a plugin for Adobe After Effects and Adobe Premiere Pro (“PhraseKit”, “we”). By downloading, activating or buying PhraseKit you agree to these terms.

2. Your license

• We give you a personal, non-exclusive, non-transferable license to use PhraseKit for personal and commercial work.
• One license key can be active on one computer at a time. To move it, deactivate it in the plugin and activate it on the new computer.
• Captions and videos you make with PhraseKit belong to you. No credit to PhraseKit is required.

3. Plans

• Trial — free and built into the plugin: full access for 24 hours from first launch, once per computer, no key needed.
• Monthly and Yearly — subscriptions that renew automatically at the end of each period until you cancel. You can cancel at any time via the link in your payment receipt email; PhraseKit keeps working until the end of the period you’ve paid for.
• Lifetime — a one-time payment for a perpetual license, including updates for as long as PhraseKit is actively developed.

Prices are in euros and include VAT where it applies. If we change subscription prices, the new price applies from your next renewal, and we will email you before that.

4. Payments

Orders are processed by Lemon Squeezy, our online reseller and merchant of record. Lemon Squeezy handles payment, invoices and taxes, and its own terms of sale also apply to your purchase.

5. Refunds

Please use the free trial day to make sure PhraseKit works on your computer before buying. In addition:

• 14-day guarantee. If PhraseKit does not work on your system and we can’t fix it, write to us within 14 days of your first purchase and we’ll refund you in full.
• Forgot to cancel? Write to us within 7 days of an automatic renewal and we’ll refund that renewal.
• Refunds are returned to the original payment method by Lemon Squeezy. After a refund, the license key is deactivated.

Write to [email protected] with your order email. These promises are in addition to your statutory rights as a consumer.

6. Activation and internet

Transcription works offline. An internet connection is needed to activate a license and to confirm it once every 14 days. Between checks PhraseKit works offline; a subscription works no longer than its paid period.

7. What you may not do

• Share, resell or publish license keys, or use one key on more computers than allowed.
• Bypass license checks, crack, or redistribute PhraseKit or its templates.
• Reverse engineer PhraseKit, except where the law allows it.

8. Third-party components

PhraseKit includes open-source components (such as whisper.cpp and the Whisper model under the MIT license) and free fonts under the SIL Open Font License; their licenses come with the installer. Some font pairs use commercial fonts that are not included — you need your own license for them. After Effects and Premiere Pro are trademarks of Adobe; PhraseKit is not affiliated with Adobe.

9. No warranty and liability

PhraseKit is provided “as is”. Automatic transcription can contain mistakes — please check captions before publishing. To the extent permitted by law, our total liability is limited to the amount you paid us in the 12 months before the claim. Nothing in these terms limits rights you have as a consumer under mandatory law.

10. Ending the license

You can stop using PhraseKit at any time. We may deactivate a license key if these terms are seriously broken (for example, key sharing or payment fraud).

11. Governing law

These terms are governed by the laws of Estonia. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence.
